Large companies have legal departments. Mid-sized companies typically have an in-house attorney. Companies with annual revenues of less than $10 million typically only hire a lawyer when the owners think they "need" one. Truth told, by the time that need is identified, certain options may already be unavailable. Often, clients are not prepared to retain me to serve on an ongoing basis until we have worked together on several corporate projects together. Then, they see the value of having me serve as an ongoing member of their management team.
I provide all of the below services a la carte as your attorney:
Serve as a member of the client's management team. As a larger company would include its in-house attorney in the important decisions of the company, I am able to provide that service to clients without clients maintaining the overhead of an in-house attorney’s salary.
Prepare clients for important negotiating meetings, and accompany them to meetings, giving clients the presence a large company would project.
Arrange for same day phone or in-person conferences. Since the client and I are in communication on an ongoing basis, I don’t need the typical intake time to “get up to speed” in order to answer questions and give advice.
Same day emails answered. As with phone calls or in-person conferences, as an ongoing member of the client’s team, I can respond to inquiries in “real time” because there is no need to “get up to speed” as a member of the client’s team.
Handle all hostile phone calls and emails. Anything a client says can and will be used against them in a court of law! What a lawyer says can rarely be used against a client. The top reason businesses get into lawsuits is the pace of today’s communications. Immediate responses are demanded all the time. As the client’s “in-house” legal team, I am available to respond to the hostile inquiries within the time frame demanded by the opposing party.
Make demands on behalf of the client. I make demands for payment and performance with the temperament and strength of an attorney. The image received by the opposing party when contacted by an attorney, as opposed to directly by a business owner, is completely different. The client projects strength, right from the start. And, I know how to avoid certain pitfalls which can make a client’s demand a bargaining chip for the other party.
Draft "plain-English" contracts, which the client can understand and re-use. I make sure that what gets negotiated ends up on the documents my clients sign. Years of litigation have proven to me that what is negotiated is often not what ends up on paper. I attend the meetings and I de-brief the client. I can then see to it that my client’s interests are reflected on paper.
Review anything the client signs. I ensure that the client in not overlooking important terms and is otherwise protected in what become binding, once signed.
Contract renewal management. Many service contracts automatically renew and have penalties is no notice is given of cancellation in a particular time frame.
Negotiate contracts from inception through signature.
Monitor websites, forms and other client documents for legal compliance.
Audit risk and insurance coverages.
Formation of entities.
Preparation of operating and shareholder agreements.
Communicate with government regulators, from municipal code enforcement through federal agencies, I keep clients from saying and doing things that can get them in trouble.
Quarterback referrals to other law firms. I have developed relationships with several large firms with specialty practice groups (such as tax and immigration) who discount their fees for my clients, instead of paying me referral fees. I monitor what the firms are doing for my clients, and facilitate communications between my clients and the specialty lawyer, so that the client really understands what is being performed on the client’s behalf.
Oversee matters with other professionals. Whether with other attorneys, accountants, insurance agents, realtors, etc., I consult with other professional service providers for my clients.
